These Terms and Conditions ("Agreement") constitute a legally binding agreement between Keystone Office Support ("Service Provider") and the client ("Client"). By engaging our services, the Client agrees to be bound by these terms.
Keystone Office Support provides administrative support services to South African small and medium enterprises, including but not limited to:
Service pricing is provided as per agreed packages or custom quotes. Payment terms are net 30 days from invoice date unless otherwise specified. Third-party government fees (CIPC, tax services, etc.) are billed separately and are not included in service packages.
Late payments may incur interest charges at the rate specified in the invoice. The Service Provider reserves the right to suspend services if payment is outstanding for more than 30 days.
Retainer Services: Monthly retainer packages are ongoing services that continue on a month-to-month basis. Either party may terminate the service with 30 days written notice.
Termination Effects: Upon termination, the Client remains responsible for all fees incurred up to the termination date. The Service Provider will provide a final invoice and transition assistance as reasonably required.
Early Termination: The Service Provider reserves the right to terminate services immediately if the Client materially breaches this Agreement or fails to pay invoices after 30 days of notice.
The Service Provider commits to maintaining strict confidentiality of all Client information and is fully compliant with the Protection of Personal Information Act (POPIA). All client data is handled with the highest security standards and will not be shared with third parties without explicit written consent, except as required by law.

No Warranty: Services are provided on an "as-is" basis. The Service Provider does not guarantee specific outcomes or results.
Liability Cap: The Service Provider's total liability under this Agreement shall not exceed the total fees paid by the Client in the 12 months preceding the claim.
Excluded Damages: In no event shall the Service Provider be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.

While the Service Provider will make reasonable efforts to ensure compliance with South African laws and regulations (including CIPC, SARS, and POPIA requirements), the ultimate responsibility for legal compliance rests with the Client. The Client should consult with legal and tax professionals for specific compliance matters.
Any disputes arising from this Agreement shall be governed by South African law. Both parties agree to attempt resolution through good faith negotiation before pursuing legal action.
The Service Provider reserves the right to modify these Terms and Conditions at any time. Changes will be communicated to the Client in writing. Continued use of services after notification of changes constitutes acceptance of the modified terms.
